ZamPay Referral Partner Agreement
Version 1.0 · Effective from 18 May 2026
This is version 1.0, written in plain English. It will be reviewed by a Zambian lawyer before broader rollout (target: ahead of Verified tier open enrollment in Q3 2026). If anything changes materially, we'll email you and ask you to accept the updated version before your next commission payout.
Between: Unistudy Zambia Limited ("ZamPay", "we"), registered in Zambia, with offices in Lusaka
And: You, the Partner ("you")
By clicking "I agree" below, you enter into this agreement with ZamPay. Your acceptance is recorded with a timestamp, IP address, and browser information.
1. What you do as a Partner
You agree to:
- Refer Zambian businesses to ZamPay using your unique referral code or signup link
- Represent ZamPay truthfully — no false promises, no claims we don't make on our own surfaces
- Maintain professional conduct in any communications mentioning ZamPay
- Keep your contact information up to date so we can pay you and reach you
If you are a Premier Partner, you also agree to:
- Participate in at least one quarterly product-input session with the ZamPay team (approximately 60 minutes, by call or in person)
- Be willing to be featured on the public "Trusted by Industry" page at zampay.biz/partners
2. What you earn — commission structure
Your Partner tier determines your commission rate. Premier is invitation-only and limited to 10-12 partners. Verified is open enrollment with no cap.
Premier Partner (lifetime commission)

Upgrades benefit you. Your commission tracks the customer's current monthly recurring revenue (MRR). If a referred customer upgrades from Lite (K299/mo) to Growth (K799/mo), your commission rate applies to the higher amount.
Verified Partner (3-year window)

Commission is capped at the signup tier. If a referred customer signs up at Lite (K299/mo) and later upgrades to Growth, you continue earning on K299 only. This keeps the program financially predictable for the higher-volume tier.
3. How attribution works
- You receive a unique referral code (e.g. JOHN-2026) and a unique signup URL
- When a new customer enters your code or visits ZamPay through your signup URL, they are attributed to you for 90 days
- Commission starts only after the customer's first paid period clears a 30-day verification window — to protect against customers who sign up and cancel quickly
- If a customer cancels within the 30-day window, no commission is paid on that referral
- A customer who cancels and later reactivates is treated as a new signup. Their previous attribution to you does not carry over — they would need to be re-attributed via your code or link
- Self-referrals are not permitted. You cannot refer yourself or businesses you control. Attempts to do so will result in commission forfeit and may terminate this agreement
4. How and when you get paid
- Commissions are calculated monthly and paid on the 15th of the following month
- Minimum payout: K100. If your commission for a given month is below K100, the amount rolls forward and combines with the next month
- Payment methods (your choice): MTN MoMo, Airtel Money, Zamtel Kwacha, or bank transfer
- You're responsible for providing accurate payout details and updating them if they change
- You can see all pending and paid commissions in your Partner dashboard
5. Your status — important
- You are an independent contractor, not an employee of ZamPay or Unistudy Zambia Limited
- You're responsible for your own income tax on commissions earned. ZamPay does not deduct PAYE or any other tax from your payments
- You don't receive employee benefits (medical aid, pension, paid leave, etc.)
- You're free to work with other companies, including other payroll or HR software providers, unless you've separately agreed otherwise in writing
6. Content (Premier Partners only)
If you write a blog post for ZamPay as part of your Premier participation:
- We pay K1,500 per published piece (capped at 4 per year per partner)
- The post becomes ZamPay's property — we can edit, re-use, archive, or remove it
- You retain by-line credit: your name, photo, profession, and (optionally) LinkedIn link appear on the post
- You may re-publish the post on your own channels (LinkedIn, personal blog, etc.) with attribution to ZamPay
7. Data privacy and customer information
Through your Partner dashboard, you'll see information about customers you've referred:
- The business / company name
- The tier they're on (Free / Lite / Growth / Business / Bespoke)
- Their active or cancelled status
- Your commission accruing each month
You will not see referred customers' contact details (email, phone number, NRC, etc.).
You agree to:
- Not misuse this information
- Not contact referred customers about non-ZamPay matters using information from the Partner dashboard
- Respect customer privacy at all times
- Comply with Zambia's Data Protection Act, 2021 in any handling of customer information you may obtain through your own pre-existing relationship with referred customers
8. Anti-fraud and clawback
- If a referred customer is later found to have signed up fraudulently or is in breach of ZamPay's terms of service, ZamPay reserves the right to claw back commissions paid on that account
- If you are found to be manipulating attribution — for example, creating fake business accounts, using bots to game referral signups, or colluding with customers to fraudulently claim commission — ZamPay can terminate this agreement immediately and withhold any unpaid commissions
9. How you represent ZamPay
- You may describe yourself as a "ZamPay Referral Partner" (or "Premier Referral Partner" if applicable)
- You may not describe yourself as a ZamPay employee, contractor, agent, or representative in any way that suggests you speak on behalf of the company
- You may not make commitments, promises, or representations to potential customers that ZamPay has not made on its own surfaces (zampay.biz, the blog, official communications)
- You may not negotiate prices, contract terms, or service-level commitments on behalf of ZamPay — those decisions are made by the ZamPay team directly
10. Term and termination
- This agreement runs continuously from the date you accept it
- Either you or ZamPay may terminate this agreement with 30 days written notice (via email)
- Accrued commissions earned before termination are paid out within 30 days of termination
- If you terminate, future commissions stop accruing on new referrals. For Premier Partners, lifetime commissions on customers referred before termination continue per the structure in Section 2, unless termination is for cause
- If ZamPay terminates for cause (fraud, material breach of this agreement, misrepresentation, illegal activity), all unpaid commissions are forfeit and lifetime commissions on existing referrals end immediately
- If ZamPay terminates without cause (e.g. discontinuing the programme entirely), lifetime commissions on existing referrals continue per Section 2
11. Updates to this agreement
- We may update this agreement from time to time as the programme evolves
- Material changes will be emailed to you with at least 14 days notice before they take effect
- You can choose to accept the new version (and continue earning) or to terminate (in which case Section 10 applies)
- The current version of this agreement is always available at zampay.biz/partners/agreement, with the version number and effective date clearly shown
12. Governing law and disputes
- This agreement is governed by the laws of the Republic of Zambia
- The Electronic Communications and Transactions Act, 2009 recognises electronic acceptance of agreements as legally binding
- Disputes will first be addressed through good-faith negotiation between you and the ZamPay team
- If negotiation fails, disputes will be resolved through mediation or, if necessary, the courts of Zambia
13. Entire agreement
This document, together with any updates we send you and you accept, constitutes the entire agreement between you and ZamPay regarding the Referral Partner Programme. It replaces any prior conversations, proposals, or understandings on this subject.

- You confirm you have read and understood this agreement
- You confirm you're authorized to enter into this agreement (you're over 18 and not bound by conflicting commitments)
- You agree to be bound by these terms
- Your acceptance is recorded with the date and time, your IP address, and your browser information
